1. INTRODUCTION

Brilliant Study Centre private Ltd. (hereinafter referred as ‘Company’) is committed to undertake CSR activities in accordance with the provisions of Section 135 of the Companies Act, 2013 and related Rules. Social and environmental responsibility has always been at the forefront of the Company’s operating philosophy.

2. CSR COMMITTEE

Composition of the CSR committee: will consist of following Directors of the Company:

Mr. Stephen Joseph

Mr. George Thomas

Mr. Santhoshkumar Bhaskaran

Secretarial works of the Committee will be attended by Mr. Praveen Kuriakose (Financial Manager) of the Company.

3. THE CSR COMMITTEE WILL BE RESPONSIBLE FOR:

  • Formulating the CSR policy as per Section 135 of the Companies Act 2013
  • Identifying activities to be undertaken as per Schedule VII of the Companies Act, 2013
  • Recommending to the Board the CSR expenditure to be incurred
  • Recommending to the Board, modifications to the CSR policy as and when required
  • Regularly monitoring the implementation of the CSR policy

4. THE BOARD OF DIRECTORS OF THE COMPANY WILL BE RESPONSIBLE FOR:

  • Approving the CSR policy as formulated by the CSR Committee
  • Ensuring that in each financial year the Company spends at least 2% of the average net profit before taxation made during the three immediate preceding financial years and for giving the reasons for not spending the allocated CSR budget in the Board’s Report
  • Ensuring that every financial year funds committed by the Company for CSR activities are utilized effectively, and regularly monitoring implementation
  • Disclosing in its Annual Report the names of CSR Committee members, the content of the CSR policy

5. FOCUS AREAS

Company will implement its CSR activities in accordance with Section 135 of the Companies Act 2013 and the Rules notified thereafter.

Currently the following areas will be considered by the Company for CSR activities:

a) Eradicating Hunger, Poverty and Malnutrition

Initiatives to combat hunger, poverty and malnutrition in society.

b) Promoting Preventive Health Care and Sanitation

Including contribution to the Swach Bharat Kosh set-up by the Central Government for the promotion of sanitation and making available safe drinking water.

c) Promotion of Education

Including special education and employment enhancing vocation skills especially among children, women, elderly and the differently abled and livelihood enhancement projects.

d) Promoting Gender Equality

Empowering women, setting up homes and hostels for women and orphans; setting up old age homes, day care centres and such other facilities for senior citizens and measures for reducing inequalities faced by socially and economically backward groups.

e) Ensuring Environmental Sustainability

Ecological balance, protection of flora and fauna, animal welfare, agroforestry, conservation of natural resources and maintaining quality of soil, air and water including contribution to clean Ganga Fund set-up by Central Government for rejuvenation of river Ganga.

f) Protection of National Heritage

Art and culture including restoration of buildings and sites of historical importance and works of art; setting up public libraries; promotion and development of traditional arts and handicrafts.

g) Support for Armed Forces

Measures for the benefit of armed forces veterans, war widows and their dependents.

h) Promotion of Sports

Training to promote rural sports, nationally recognized sports, Paralympic sports and Olympic sports.

i) Contribution to Government Funds

Contribution to the Prime Minister’s National Relief Fund or any other fund set up by the Central Government for socio-economic development and relief and welfare of the Scheduled Castes, the Scheduled Tribes, other backward classes, minorities and women.

j) Technology Incubators

Contribution or funds provided to technology incubators located within academic institutions which are approved by the Central Government and State Government.

k) Rural Development Projects

Initiatives focused on rural development and upliftment.

Any other activities included in schedule VII may also be undertaken with the approval of the Board.

6. CSR EXPENDITURE

(i) In every financial year, the Company shall spend a minimum of 2% of its average Net Profits in the immediately preceding three (3) financial years. Average Net profits shall mean the net profits of the Company as per the Profit & Loss Statement prepared in accordance with the Companies Act, 2013.

(ii) CSR Expenditure shall mean all expenditure incurred in respect of specific projects/programs relating to the approved CSR activities.

(iii) CSR Expenditure shall not include expenditure on any item not in conformity or not in line with activities which fall within the purview of the CSR activities listed in Schedule VII.

(iv) The surplus arising out of the CSR activities or projects shall not form part of the business profit of the Company.

7. COMMITTEE MEETINGS

The CSR Committee shall hold minimum one meeting in a half year.
